I. Introduction
1. These General Terms and Conditions constitute an integral part of all agreements concluded by the buyers and define the mutual relations between the buyer and the seller.
2. We reserve the right to all demo materials, samples, company printed materials, electronic documents which are not to be sued without our prior written consent and knowledge for any purpose whatsoever.
II. Prices
1. Prices are agreed upon individually depending on purchased quantities and forms of payment. For smaller quantities, i.e. up to 2 tonnes, the retail price list available from the Sales Department applies.
2. The above price may be amended without notice if external circumstances not attributable to us occur, i.e.: change to manufacturer, VAT rates, transport services.
III. Payment terms
1. Payment for the purchased products is in advance, once an order is confirmed as accepted for processing.
2. Payment date is considered to be the date funds are credited to the company's account.
3. Deferred payment terms may be offered to regular customers.
IV. Transport
1. Collection of the purchased goods is possible during warehouse working hours or following prior telephone arrangements.
2. If customers are unable to arrange their own transport, our delivery service is available.
V. Delivery, delayed delivery for reasons not attributable to the seller
1. The delivery term begins the moment all arrangements with the buyer are made, an order is placed and payment terms are agreed upon.
2. The time before all arrangements are complete does not count towards the delivery term. Arrangements are complete the moment delivery terms confirmation is sent to the buyer and, if advance payment is arranged, once funds are credited to our account.
3. If goods are ordered together with delivery to the customer, the delivery costs are payable by the buyer.
VI. Responsibility during delivery
1. If the buyer collects the goods, the delivery risk, including the risk of losing all or part of the delivery, lies with the buyer.
2. If goods are ordered together with delivery to the customer, the delivery risk lies with the seller.
VII. Miscellaneous Provisions
1. All matters not regulated herein and not regulated by particular agreements will be settled amicably.
2. All disputes will be settled by a court with jurisdiction over the seller’s seat.
